In fintech, healthcare, and legal technology, the diligence that most determines whether an investment works is the part most generalist investors are least equipped to perform: understanding whether the company's regulatory footing is real or aspirational.
Regulatory diligence asks a different set of questions than a standard data-room review. Is the company licensed where it operates, and where it plans to. Does its compliance program exist in practice or only on paper. Has it structured its product to fit the rules, or is it one enforcement letter from a very different business. Are the founders treating regulation as terrain to learn or an obstacle to route around. The answers are often not in the deck.
A generalist investor can read a financial model but cannot always tell a sound compliance posture from a confident-sounding one, because they have never operated under the same regulators. So they either avoid regulated startups or misprice them, both of which leave opportunity on the table. The risk they cannot see is exactly the risk that decides the outcome.
